General terms and conditions
Last updated: November 2026
1. Scope
These terms apply to all services provided by H·O·H Consulting (Christine Gouget, Morges). A signed offer or contract takes precedence over these terms.
2. Nature of services
HR, organisation and hospitality consulting, mainly remote; on-site presence on quotation. Services are mandates within the meaning of art. 394 et seq. of the Swiss Code of Obligations: an obligation of means, with no relationship of subordination or integration into the client’s salaried workforce. HR decisions remain the client’s. Services do not constitute legal advice; a lawyer is recommended where necessary.
3. Offer and order
Each mandate is subject to a written offer specifying the scope, deliverables, timeline and fees. The mandate begins upon written acceptance of the offer (including by e-mail).
4. Fees
According to the rates published on the date of the offer: CHF 160 for a one-hour ad-hoc advisory consultation; additional time: CHF 80 per 30-minute block, only if the session is extended by mutual agreement. Missions and projects, as well as the outsourced HR partnership, are subject to a written quotation specifying the objectives, deliverables, terms, fees and any expenses. Prices exclude VAT (not subject to VAT).
5. Recurring mandates (Outsourced HR partner)
Initial commitment of 3 months, then monthly renewal, terminable by e-mail with 30 days’ notice to the end of a month. Unused hours cannot be carried over unless agreed. Indicative response times: 2 to 3 working days depending on the package, excluding emergencies.
6. Availability
Time slots are agreed by mutual consent. The availability stated is a maximum capacity, not a guarantee of permanent availability.
7. Expenses
Travel, parking, accommodation, business meals, tools and third-party providers are invoiced in addition, subject to the client’s prior approval.
8. Invoicing and payment
Monthly or milestone invoicing, with Swiss QR-bill, payable within 30 days. Subscriptions are invoiced in advance. In the event of late payment, work may be suspended after a reminder.
9. Cancellation and rescheduling
Appointment cancelled less than 24 hours in advance: invoiced. Scheduled day cancelled less than 5 working days in advance: 50% invoiced. Rescheduling agreed in good time is free of charge.
10. Client cooperation
The client provides accurate and complete information in good time and appoints a contact person. The client remains responsible for decisions taken and their legal compliance.
11. Confidentiality and data
All client information is treated confidentially, during and after the mandate. Personal data is processed in accordance with the Swiss Federal Act on Data Protection (FADP) and the website’s privacy policy; a data processing agreement is signed before any transfer of HR files.
12. Liability
Liability is limited to direct damage caused intentionally or through gross negligence, and capped at the amount of fees received for the mandate concerned, within the limits of the law.
13. Deliverables
After full payment, the client may freely use the deliverables for internal purposes. Generic methods and templates remain the property of H·O·H Consulting.
14. End of the mandate
Either party may terminate the mandate at any time (art. 404 CO). Services performed and expenses incurred remain due; termination at an inopportune time may give rise to compensation.
15. Applicable law and jurisdiction
Swiss law. Place of jurisdiction: Morges, subject to mandatory places of jurisdiction.
